1. Acceptance of Terms
By accessing or using the TANPAN.AI platform (“Service”), operated by TANPAN.AI (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
TANPAN.AI is an AI-powered negotiation coaching platform designed to help users prepare for, conduct, and review negotiations and meetings. The Service includes, but is not limited to, the following features:
- Pre-Meeting AI Strategy Analysis — AI-driven analysis of uploaded materials and context to generate negotiation strategies, talking points, and recommendations, powered by Gemini AI.
- Real-Time Speech-to-Text Transcription — Live transcription of meeting audio using Azure AI Speech services, supporting multiple languages.
- Real-Time AI Coaching Suggestions — Context-aware coaching prompts and tactical recommendations delivered during live meetings.
- Post-Meeting Analysis, Scoring & Reports — Comprehensive analysis of meeting performance including negotiation scores, outcome assessment, and actionable improvement recommendations.
- PDF Export — Export of meeting summaries, transcripts, and analysis reports in PDF format.
- Team Collaboration — Shared meeting workspaces with annotations, highlights, and collaborative review capabilities.
- Multi-Language Support — The platform interface and transcription services are available in five languages: English, Traditional Chinese, Simplified Chinese, Japanese, and Korean.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.
3. Account Registration
To use the Service, you must create an account. We offer the following authentication methods:
- Google OAuth — Sign in with your Google account.
- Email Magic Link — Passwordless authentication via a one-time link sent to your email address.
You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for all activity that occurs under your account. You must notify us immediately at support@tanpan.ai if you suspect unauthorized access to your account. You must be at least 18 years old to create an account.
4. Subscription & Payments
TANPAN.AI operates on a credit-based subscription model. The following plans are available:
- Free Plan — 50 credits per month at no charge.
- Pro Plan — US$29 per month, 500 credits per month.
- Team Plan — US$49 per user per month, 1,000 credits per user per month.
Additional credit add-on packs are available for purchase separately. Plan pricing, credit allocations, and features are subject to change; we will provide advance notice of any material pricing changes.
All payments are processed by Paddle.com Market Limited (“Paddle”), which acts as our Merchant of Record. Paddle is responsible for processing all billing transactions, collecting applicable sales taxes and VAT, issuing invoices, and handling refunds. By subscribing to a paid plan, you agree to Paddle’s terms of service and authorize Paddle to charge your designated payment method on a recurring basis. Refund requests should be directed to Paddle in accordance with their refund policy. Unused credits do not roll over to subsequent billing periods unless otherwise specified in your plan.
5. User Content & Data
“User Content” refers to all data you upload, create, or generate through the Service, including but not limited to meeting recordings, transcripts, attachments, notes, annotations, and analysis results.
You retain all ownership rights to your User Content. By using the Service, you grant TANPAN.AI a limited, non-exclusive, royalty-free license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service. We will not use your User Content to train, retrain, or fine-tune any generalized artificial intelligence or machine learning models without your explicit consent.
User Content and uploaded files are stored on Cloudflare R2 cloud storage infrastructure. While we implement commercially reasonable security measures to protect your data, you acknowledge that no method of electronic storage is 100% secure. You are responsible for maintaining your own backups of critical data.
6. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate negotiation strategies, coaching suggestions, transcriptions, scores, and analysis reports. You acknowledge and agree that:
- AI-generated outputs are advisory only and are provided for informational purposes. They do not constitute professional legal, financial, business, or any other form of professional advice.
- AI outputs may be inaccurate, incomplete, biased, or contextually inappropriate. You are solely responsible for evaluating, verifying, and acting upon any AI-generated content.
- Transcriptions are generated by automated speech recognition technology and may contain errors. They should not be relied upon as verbatim records without independent verification.
- TANPAN.AI does not guarantee any particular negotiation outcome or business result from the use of the Service.
7. Intellectual Property
The Service, including all software, algorithms, user interface designs, trademarks, logos, and documentation, is the exclusive property of TANPAN.AI and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) sublicense, sell, resell, or distribute the Service; (d) use the Service to build a competing product; or (e) remove any proprietary notices from the Service.
8. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:
- Record, transcribe, or process any meeting or conversation without the informed consent of all participants, in compliance with applicable local, state, national, and international laws regarding recording consent (including but not limited to two-party consent jurisdictions).
- Use the Service for any illegal, fraudulent, or unauthorized purpose.
- Upload content that is defamatory, obscene, threatening, or that infringes on the intellectual property or privacy rights of others.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
- Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
- Use automated scripts, bots, or scrapers to access the Service except through officially provided APIs.
- Resell, redistribute, or commercially exploit any part of the Service without our prior written consent.
Recording Consent: You are solely responsible for obtaining all necessary consents before recording or transcribing any meeting. TANPAN.AI is not liable for your failure to comply with applicable recording consent laws.
9. Team Features
TANPAN.AI offers team collaboration features that allow multiple users within an organization to share and collaborate on meeting data. If you use Team features, the following applies:
- Roles: Teams support the following roles: Owner, Admin, Member, and Viewer. Each role has specific permissions governing access to meetings, settings, and team management functions.
- Data Visibility: When you share a meeting with a team, other team members with appropriate roles may access the meeting content, transcripts, analysis, annotations, and highlights in accordance with their permissions.
- Organization Ownership: If you are using the Service under an organizational Team plan, the organization (represented by the Team Owner) may have administrative rights over the team workspace, including the ability to manage members, access shared content, and control team settings.
- Member Responsibilities: Each team member must comply with these Terms individually. The Team Owner is responsible for ensuring that all members are aware of and adhere to these Terms and any applicable organizational policies.
10. Referral Program
TANPAN.AI may offer a referral program that allows you to earn credits by referring new users to the Service. The following terms apply:
- Referral credits are awarded when a referred user successfully creates an account and meets any applicable qualification criteria.
- Referral credits are for use within the TANPAN.AI platform only and have no cash value.
- You may not use spam, bulk messaging, misleading claims, or any deceptive practices to generate referrals.
- We reserve the right to modify, suspend, or terminate the referral program at any time, and to revoke credits obtained through fraudulent or abusive means.
- Self-referrals and duplicate accounts created to exploit the referral program are prohibited.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose your personal information. By using the Service, you consent to the data practices described in our Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TANPAN.AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
13. Termination
You may terminate your account at any time by contacting us at support@tanpan.ai or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.
Upon termination: (a) your right to access the Service will cease immediately; (b) we may delete your User Content after a reasonable retention period; (c) any outstanding payment obligations will survive termination; and (d) provisions that by their nature should survive termination will remain in effect, including Sections 5, 6, 7, 12, 15, and 16.
14. Changes to Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the Service and updating the “Last Updated” date. For significant changes, we may also notify you via email or an in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Taipei, Taiwan (R.O.C.). You irrevocably consent to the personal jurisdiction and venue of such courts.
